🔒 Updated Terms of Service for Virtual BDM

0. Acceptance of Terms
By accessing or using services provided by Virtual BDM, including but not limited to business coaching, content creation, and digital consultancy, you agree to be bound by these Terms of Service.
🧑💼 Business Coaching Services
1. Coaching Scope
Virtual BDM provides professional coaching to support clients with business development, marketing, content strategy, and operations. Coaching is not a substitute for legal, financial, or psychological advice. You are solely responsible for implementing strategies discussed.
2. Session Delivery & Scheduling
Group sessions are paid in advanced via the payment link or invoiced.
Sessions may be delivered via video call, phone, or agreed platform.
3. Rescheduling & Cancellation
Clients must provide 48 hours notice to reschedule. No refunds are available once booked.
🎥 User-Generated Content (UGC) Services
4. Content Ownership & Usage
Unless agreed otherwise in writing:
Virtual BDM retains copyright of all UGC created.
Clients are granted a non-exclusive, non-transferable, royalty-free, perpetual license to use the content across all platforms, including paid advertising, sponsored posts, and promotional campaigns.
There is no limit on how long the brand may use the content.
However, if the brand enters into ethical, legal, or reputational controversies, Virtual BDM reserves the right to demand the removal of all content featuring their likeness or work. Non-compliance may result in legal action.
5. Photography Use
Any photography shared on Virtual BDM’s platforms in association with your UGC project may also be used by the client across their platforms at no additional charge.
6. Deliverables & Format
Content is delivered in high-quality digital format (MP4, JPG, etc.).
Standard video length: Minimum 30 seconds (excluding the complimentary package).
No previews or drafts are provided. Final content is delivered as-is, with only minor edits at Virtual BDM’s discretion.
7. Project Requirements
Clients must provide all required materials (products, brand briefs, disclaimers, etc.) before work begins. Delays will affect turnaround timelines.
8. Turnaround Time
Standard delivery is within four (4) weeks of receiving all required materials (e.g., products, briefs, brand guidelines).
On average, content is delivered within twelve (12) days, depending on the scope of work and current workload.
Clients will be advised of an estimated delivery timeframe at the time of booking. Delays in providing necessary materials may extend the timeline.
💳 Payment Terms & Late Fees
9. Payment Requirements
All group Business coaching sessions are paid upfront. UGC services must be paid in full and upfront, unless otherwise agreed in writing. For ad-hoc coaching sessions, invoices are issued after delivery and are payable within 7 days.
10. Late Payments
If payment is not received by the due date:
A 10% late fee will apply after 7 days
A further 20% after 14 days
A further 30% after 21 days
Total late fees may accumulate to 60% if unpaid after 30 days
Outstanding invoices beyond 30 days may be referred to a debt collection agency, and the client will be responsible for any legal or recovery fees incurred.

11. By purchasing and accessing my resource library, you agree to the following terms:
Personal Use Only
This audio is licensed for personal use by the purchaser only. It may not be shared, distributed, sold, gifted, or made available to others in any form—digitally, physically, or otherwise.
No Copying or Editing
You may not edit, alter, reproduce, or repurpose any part of this audio. It must not be transcribed, extracted, or adapted into any other content or format without prior written permission from the creator.
No Public Use or Broadcast
This audio may not be used in public settings, broadcast, played at events, or used for educational or commercial purposes beyond your own personal business development.
Intellectual Property
All content, ideas, and materials shared within this audio are the intellectual property of Chloe Bryan / Virtual BDM. Legal action may be taken in cases of misuse, unauthorised distribution, or infringement.
No Guarantees
This audio is intended to support and guide your business planning. It does not guarantee business success or financial outcomes. Results will vary depending on your unique situation and actions taken.
📁 Portfolio Use
12. Virtual BDM reserves the right to feature completed content in marketing materials, social media, and portfolios unless the client opts out in writing before the project begins.
🚫 Disclaimers & Limitation of Liability
13. Virtual BDM offers strategic advice and content creation services in good faith but does not guarantee specific outcomes such as increased sales, follower growth, or viral success.
Services do not constitute legal, medical, or financial advice.
All services are provided “as is” and at your own risk.
Virtual BDM is not liable for any indirect, incidental, special, or consequential damages resulting from the use of the services.
⚖️ Governing Law
14. These Terms shall be governed by and construed in accordance with the laws of New Zealand.
🔁 Modifications to Terms
15. Virtual BDM may update these Terms at any time without prior notice. Continued use of our services indicates your acceptance of any changes.
🔐 Privacy Policy
At Virtual BDM, your privacy is important to us. This Privacy Policy outlines how we collect, use, and protect your personal information in accordance with New Zealand privacy laws.

We may collect the following personal information:
Name
Email address
Phone number
Physical address
Social media handles
Payment information
This information is collected through website forms, Stripe, email, phone calls, online meetings, and social media messages.
2. How We Use Your Information
Your information may be used to:
Deliver our services (e.g. coaching, content creation)
Communicate with you about your services or bookings
Process and complete payments
Send invoices and receipts
Provide relevant updates or email marketing (you may opt out at any time)
3. Third-Party Services
We use trusted third-party platforms to support our services, including:
Stripe (for secure payment processing)
Google Workspace (for communication and documentation)
Wix (for website hosting and contact forms)
Social media platforms (for client communication and marketing)
We do not sell or share your personal information with third parties unless:
Required by law
You have given written consent
It is necessary to pursue debt collection in accordance with our payment terms
4. Data Storage and Security
All personal information is stored in secure, password-protected systems and cloud storage protected by two-factor authentication. We take reasonable precautions to safeguard your data from loss, misuse, or unauthorised access.
5. Children and Youth
We may work with individuals under the age of 16 only with the express written permission of a parent or legal guardian. No information is knowingly collected from minors without consent.
6. Data Retention and Access
Client data is retained for as long as necessary to fulfil the purpose it was collected for and to comply with legal obligations (e.g. tax and recordkeeping). You may request access to, or deletion of, your personal data at any time by emailing chloe@virtualbdm.co.nz. Please allow up to 3 business days for your request to be actioned, and clearly specify what information you would like to be deleted.
