🔒 Updated Terms of Service for Virtual BDM

0. Acceptance of Terms
By accessing or using services provided by Virtual BDM, including but not limited to business coaching, content creation, and digital consultancy, you agree to be bound by these Terms of Service.
🧑💼 Business Coaching Services
1. Coaching Scope
Virtual BDM provides professional coaching to support clients with business development, marketing, content strategy, and operations. Coaching is not a substitute for legal, financial, or psychological advice. You are solely responsible for implementing strategies discussed.
2. Session Delivery & Scheduling
Ad-hoc sessions are invoiced post-delivery and payable within 7 days.
Monthly coaching packages and the Support in Selling package require full payment upfront. No refunds are provided once the service period begins. Sessions may be delivered via video call, phone, or agreed platform.
3. Rescheduling & Cancellation
Clients must provide 48 hours’ notice to cancel or reschedule.
You may reschedule twice without penalty.
A third cancellation may result in a ban from future bookings or require 50% prepayment to rebook.
4. Complimentary 1:1
This only applies to clients who have not used any of my services prior and are looking at Business Coaching services. All other services being the UGC Coaching, Career Advisory or UGC Packages do not have the 1 hour complimentary 1:1 available to them.
🎥 User-Generated Content (UGC) Services
5. Content Ownership & Usage
Unless agreed otherwise in writing:
Virtual BDM retains copyright of all UGC created.
Clients are granted a non-exclusive, non-transferable, royalty-free, perpetual license to use the content across all platforms, including paid advertising, sponsored posts, and promotional campaigns.
There is no limit on how long the brand may use the content.
However, if the brand enters into ethical, legal, or reputational controversies, Virtual BDM reserves the right to demand the removal of all content featuring their likeness or work. Non-compliance may result in legal action.
6. Photography Use
Any photography shared on Virtual BDM’s platforms in association with your UGC project may also be used by the client across their platforms at no additional charge.
7. Deliverables & Format
Content is delivered in high-quality digital format (MP4, JPG, etc.).
Standard video length: Minimum 30 seconds (excluding the complimentary package).
No previews or drafts are provided. Final content is delivered as-is, with only minor edits at Virtual BDM’s discretion.
8. TikTok LIVE Collaborations
Where included, Virtual BDM will host a TikTok LIVE event featuring your product.
You may be invited to join as a guest.
Guest participation requires a TikTok account compliant with TikTok’s LIVE eligibility rules.
Clients are expected to join on time and engage professionally.
9. Project Requirements
Clients must provide all required materials (products, brand briefs, disclaimers, etc.) before work begins. Delays will affect turnaround timelines.
10. Turnaround Time
Standard delivery is within four (4) weeks of receiving all required materials (e.g., products, briefs, brand guidelines).
On average, content is delivered within twelve (12) days, depending on the scope of work and current workload.
Clients will be advised of an estimated delivery timeframe at the time of booking. Delays in providing necessary materials may extend the timeline.
💳 Payment Terms & Late Fees
11. Payment Requirements
All monthly coaching packages, Support in Selling packages, and UGC services must be paid in full and upfront, unless otherwise agreed in writing.
For ad-hoc coaching sessions, invoices are issued after delivery and are payable within 7 days.
12. Late Payments
If payment is not received by the due date:
A 10% late fee will apply after 7 days
A further 20% after 14 days
A further 30% after 21 days
Total late fees may accumulate to 60% if unpaid after 30 days
Outstanding invoices beyond 30 days may be referred to a debt collection agency, and the client will be responsible for any legal or recovery fees incurred.
🧭 Career Advisory Services
13. Scope of Advisory Support
Virtual BDM provides career advisory services to individuals at various stages of their professional journey, including but not limited to youth (rangatahi) in high schools, early-career professionals, and individuals undergoing career changes. Advice is based on experience and best practices and is not a substitute for formal academic, psychological, legal, or employment services. Individuals are responsible for making their own career decisions and are encouraged to seek additional professional guidance where needed. Virtual BDM shall not be held liable for employment outcomes, missed opportunities, or any decisions made as a result of advisory sessions.

14. By purchasing and accessing my resource library, you agree to the following terms:
Personal Use Only
This audio is licensed for personal use by the purchaser only. It may not be shared, distributed, sold, gifted, or made available to others in any form—digitally, physically, or otherwise.
No Copying or Editing
You may not edit, alter, reproduce, or repurpose any part of this audio. It must not be transcribed, extracted, or adapted into any other content or format without prior written permission from the creator.
No Public Use or Broadcast
This audio may not be used in public settings, broadcast, played at events, or used for educational or commercial purposes beyond your own personal business development.
Intellectual Property
All content, ideas, and materials shared within this audio are the intellectual property of Chloe Bryan / Virtual BDM. Legal action may be taken in cases of misuse, unauthorised distribution, or infringement.
No Guarantees
This audio is intended to support and guide your business planning. It does not guarantee business success or financial outcomes. Results will vary depending on your unique situation and actions taken.
📁 Portfolio Use
15. Virtual BDM reserves the right to feature completed content in marketing materials, social media, and portfolios unless the client opts out in writing before the project begins.
🤝 Collab Sourcing Services
16. Virtual BDM offers a Collab Sourcing service designed to support UGC creators and influencers in connecting with aligned brands for both gifted and paid opportunities. This service is only available to individuals actively engaged in ongoing UGC Coaching with Virtual BDM. While all reasonable efforts will be made to identify suitable collaboration opportunities, Virtual BDM makes no guarantees regarding the volume, timing, or financial outcome of any brand partnerships sourced. Virtual BDM does not act as a talent agent and does not take commission or negotiate contracts on behalf of clients. Clients are responsible for managing their own deliverables, agreements, and compliance with brand terms once an introduction is made. By participating in this service, you acknowledge and accept that all final decisions and responsibilities regarding collaborations rest with you.
🚫 Disclaimers & Limitation of Liability
17. Virtual BDM offers strategic advice and content creation services in good faith but does not guarantee specific outcomes such as increased sales, follower growth, or viral success.
Services do not constitute legal, medical, or financial advice.
All services are provided “as is” and at your own risk.
Virtual BDM is not liable for any indirect, incidental, special, or consequential damages resulting from the use of the services.
⚖️ Governing Law
18. These Terms shall be governed by and construed in accordance with the laws of New Zealand.
🔁 Modifications to Terms
19. Virtual BDM may update these Terms at any time without prior notice. Continued use of our services indicates your acceptance of any changes.
The Content Crawl – Terms & Conditions
Effective as of ticket purchase
By purchasing a ticket to The Content Crawl hosted by Virtual BDM, you agree to the following terms and conditions:
1. Ticket Purchase & Refund Policy
Tickets are non-refundable, except in the case of event cancellation by the organiser.
Tickets may be transferred to another attendee with prior written notice and approval.
Refunds will be made within 7 days of refund confirmation.
All sales are final.
2. Event Details & Changes
The event will be held on Friday 31st October 2025, from 12pm–6pm, starting at Wellington Train Station.
The organiser reserves the right to:
Make reasonable changes to event details (e.g. route, timings, content challenges)
Postpone the event due to severe weather or other unforeseen circumstances (a rescheduled date will be offered, full refund minus pre-purchased expenses up to 50% of the ticket price will be available to those who cannot make the new date)
Cancel the event in exceptional circumstances (a full refund will be provided if this occurs)
3. Participant Requirements
All participants must be 18 years or older.
Participants agree to act respectfully, responsibly, and safely at all times.
Teams of 3 will be allocated prior to the event. If you are registering alone, you will be placed in a team.
Costumes are encouraged but must be appropriate and not offensive.
4. Content & Media Release
By attending the event, you agree that:
Photos, videos, and other content may be captured throughout the event.
You grant Virtual BDM the right to use any content (including images and footage featuring you) for promotional purposes on social media, websites, or other marketing platforms.
If you do not wish to be included in content, you must notify the organiser in writing before the event.
5. Health, Safety & Liability
Food and drink (including alcoholic and non-alcoholic options) will be provided. Please advise of any dietary requirements or allergies at least 7 days prior to the event.
Virtual BDM is not liable for:
Any personal injury, loss, damage, or theft during the event
Any food/drink-related reactions or issues
Participants attend and take part at their own risk.
If participants are asked to leave due to ill behaviour, no refund shall be given
6. Accommodation Support Disclaimer
While Virtual BDM may support participants in securing potentially gifted accommodation, this is not guaranteed.
All accommodation arrangements are independent of the ticket purchase and subject to availability and approval by the third-party provider.
7. Coaching Session Redemption
All attendees receive one free coaching session, valid for use within 3 months of the event date.
Session is non-transferable and must be booked in advance.
Expired sessions cannot be claimed or refunded.
8. General
Virtual BDM reserves the right to refuse or remove any participant who is disruptive or acts inappropriately.
These T&Cs are subject to change. Updated versions will be communicated via email to guests who have purchased tickets.
By selecting the 4-week payment plan option for The Content Crawl event, you agree to the following terms and conditions:
Total Cost: The total ticket price is $185.00, paid in four (4) weekly instalments of $46.25
Payment Schedule:

The first payment of $46.25 is charged at the time of sign-up.

The remaining three payments of $46.25 will be automatically charged weekly on the same day as the initial payment.

Payments will continue until the full amount of $185.00 has been paid.
Card Details Required:

You must save your payment details at checkout to enable automatic weekly payments.

Failure to save your payment method will result in unsuccessful setup of the payment plan.
No Refunds or Cancellations:
This payment plan is non-refundable and non-cancellable.

By signing up, you commit to the full amount of $185.00, regardless of personal circumstances or event attendance.
Missed Payments:

It is your responsibility to ensure sufficient funds are available each week.

If a payment fails, we will attempt to retry. Continued failure to process payments may result in cancellation of your event access.
Deadline:

The payment plan option is only available until Friday, 3rd October 2025.

After this date, full payment will be required at the time of booking.
By proceeding with this payment plan, you acknowledge and accept these terms in full.
🔐 Privacy Policy
At Virtual BDM, your privacy is important to us. This Privacy Policy outlines how we collect, use, and protect your personal information in accordance with New Zealand privacy laws.

Email address
Phone number
Physical address
Social media handles
Payment information
This information is collected through website forms, Stripe, email, phone calls, online meetings, and social media messages.
2. How We Use Your Information
Your information may be used to:
Deliver our services (e.g. coaching, content creation)
Communicate with you about your services or bookings
Process and complete payments
Send invoices and receipts
Provide relevant updates or email marketing (you may opt out at any time)
3. Third-Party Services
We use trusted third-party platforms to support our services, including:
Stripe (for secure payment processing)
Google Workspace (for communication and documentation)
Wix (for website hosting and contact forms)
Social media platforms (for client communication and marketing)
We do not sell or share your personal information with third parties unless:
Required by law
You have given written consent
It is necessary to pursue debt collection in accordance with our payment terms
4. Data Storage and Security
All personal information is stored in secure, password-protected systems and cloud storage protected by two-factor authentication. We take reasonable precautions to safeguard your data from loss, misuse, or unauthorised access.
5. Children and Youth
We may work with individuals under the age of 16 only with the express written permission of a parent or legal guardian. No information is knowingly collected from minors without consent.
6. Data Retention and Access
Client data is retained for as long as necessary to fulfil the purpose it was collected for and to comply with legal obligations (e.g. tax and recordkeeping). You may request access to, or deletion of, your personal data at any time by emailing chloe@virtualbdm.co.nz. Please allow up to 3 business days for your request to be actioned, and clearly specify what information you would like to be deleted.
